Terms of Service

1. Agreement

By creating an account or using DoubleMaterialityIQ (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Service description

DoubleMaterialityIQ is a software platform that helps organizations prepare Double Materiality Assessments aligned with the EU Corporate Sustainability Reporting Directive (CSRD) and the European Sustainability Reporting Standards (ESRS). The platform provides regulatory wave determination, pre-screening, IRO scoring, and reporting exports.

The Service is provided for informational and preparatory purposes. Outputs do not constitute legal, audit, or regulatory advice.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities performed under your account. Notify us immediately of any unauthorized access.

4. Subscription & billing

Paid plans are billed monthly in advance through Stripe. Plans renew automatically until cancelled. You may cancel at any time through your account settings; access continues until the end of the paid period. Refunds are issued at our discretion for technical failures directly attributable to the Service.

5. Acceptable use

You agree not to:

• reverse-engineer, scrape, or circumvent technical protections of the Service;
• submit content that is unlawful, infringing, or misleading;
• use the Service to compete with us or build a substantially similar product;
• attempt to gain unauthorized access to other organizations' data.

6. Intellectual property

The Service, including its software, regulatory databases, sector templates, and UI, is our exclusive property. You retain ownership of the company data, assessments, and outputs you generate, subject to the license granted to us to operate and improve the Service.

7. Disclaimer of warranties

The Service is provided "as is". We do not warrant that the Service will be uninterrupted, error-free, or that regulatory content is exhaustive or current at all times. Regulatory frameworks evolve; always verify with official sources.

8. Limitation of liability

To the maximum extent permitted by law, our total liability is capped at the amount paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or regulatory-penalty damages.

9. Termination

You may close your account at any time from Settings. We may suspend or terminate accounts that breach these Terms. On termination, we may delete associated data after 30 days.

10. Governing law

These Terms are governed by the laws of Portugal. Disputes are subject to the exclusive jurisdiction of the courts of Lisbon, without prejudice to mandatory consumer protection rules.
